These Terms of Use (“Terms”) govern access to and use of the online products and services provided by Effective Command Canada Ltd. a company located in Ontario, Canada (“Company”, “we”, “us”, or “our”).
By purchasing a subscription, registering for an account, or accessing the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Where acceptance of these Terms is indicated through an online checkbox, registration process, or similar electronic action, such acceptance constitutes a legally binding agreement between you and the Company.
Nothing in these Terms is intended to limit or exclude rights that cannot legally be limited under applicable Canadian consumer protection laws.

1. THE SERVICES
The Company provides subscribers with access to the following online products:
• The Articulate e-learning platform
• The Effective Command Training Portal
(collectively, the “Services”).
The Services include access to online training programs, learning materials, and related functionality made available through the Company’s platforms.
The Company may update, improve, modify, replace, or discontinue features of the Services from time to time.
MULTI-PRODUCT SERVICES
The subscription may include access to multiple products or services provided through the Company’s platform.
If one product experiences temporary interruption while others remain available, this does not necessarily constitute a failure to provide the Services in their entirety.
Where a product is permanently discontinued and cannot reasonably be replaced with a comparable offering, the Company may provide a replacement service, subscription extension, or prorated partial refund.
2. ELIGIBILITY AND ACCOUNTS
Eligibility
You must be the age of majority in your province or territory of residence to purchase a subscription or use the Services.
Account Creation
Users must register an account in order to access the Services.
Registration may require users to provide accurate personal or organizational information.
Account Security
Users are responsible for maintaining the confidentiality of their login credentials and for all activity occurring under their account.
Users must notify the Company promptly if they become aware of unauthorized access to their account.
3. SUBSCRIPTIONS AND ACCESS
Subscription Term and Activation
Access to the Services is provided through a paid subscription.
Unless otherwise specified at the time of purchase, a subscription provides access to the Services for one (1) year from the date the subscriber or authorized user account is successfully activated and enrolled in the Services (the “Activation Date”).
After payment is received, the Company will complete the enrollment and activation process. This process may involve manual verification or setup and may take several business days.
The subscription period begins on the Activation Date, not the date payment was processed.
Subscriber Onboarding Responsibilities
Subscribers and organizations may be required to provide certain information or complete onboarding steps necessary to activate access to the Services.
If activation is delayed because required information or onboarding steps are not completed within a reasonable period of time, the Company may deem the subscription activated once access credentials or activation instructions have been made available.
Accounts and License Allocation
Subscriptions may be purchased by individual users or organizations purchasing multiple learner licenses.
Individual Subscriptions
An individual subscription provides access for one registered user account.
The user will receive a registration email and create their own credentials. Individual accounts may not be shared.
Organizational Subscriptions
Organizations may purchase subscriptions that include multiple learner licenses.
Each learner license permits access by one authorized individual user account.
When licenses are assigned, the Company will send a registration email to each user allowing them to create their account credentials.
Learner licenses may be reassigned only before the assigned user has begun the training program.
Once a user has begun the training program or accessed course materials, the license becomes permanently assigned to that user and may not be transferred.
Organizations are responsible for ensuring that their authorized users comply with these Terms.
Course Completion and Access Period
The subscription provides access to training programs and materials during the subscription term.
Users are responsible for managing their progress within the available access period.
Failure to complete the training program within the subscription period does not entitle the subscriber or organization to a refund, extension, or transfer of a learner license, except where required by law.
4. FEES AND PAYMENTS
Subscription Fees
Subscription fees and applicable taxes will be displayed at the time of purchase.
All prices are listed in Canadian Dollars (CAD) unless otherwise specified.
Payments may be processed through third-party payment processors.
Payment Authorization
By submitting payment information, you confirm that you are authorized to use the payment method and authorize the Company to charge the applicable fees.
Payment Disputes and Chargebacks
If you believe a billing error has occurred, you agree to contact the Company first to allow a reasonable opportunity to resolve the issue.
Initiating a payment dispute or chargeback through a financial institution without first contacting the Company may result in temporary suspension of access while the matter is reviewed.
5. REFUNDS
Except as provided below or where required by applicable law, subscription purchases are generally non-refundable once access to the Services has been granted.
Access includes the ability to view or use training materials or other platform features. Once a user has begun accessing training materials or otherwise started the training program, the subscription will be considered in use.
Inability to Provide Services
If the Company becomes unable to continue providing the Services due to unforeseen circumstances, the Company will provide a prorated refund for the unused portion of the subscription period.
Required by Law
Where applicable consumer protection laws provide mandatory cancellation or refund rights, those rights will apply.
6. ACCEPTABLE USE
Users agree not to:
• share login credentials
• misuse the Services
• interfere with platform functionality
• use the Services for unlawful purposes
• attempt to bypass security protections
Accounts violating these Terms may be suspended or terminated.
Automated Access and Data Use
Users may not use bots, scraping tools, or automated systems to access or collect data from the Services without written permission.
7. CUSTOMER SUPPORT
Customer support may be provided through email or other channels.
Unless otherwise stated, support is provided on a reasonable-efforts basis, and response times are not guaranteed.
8. INTELLECTUAL PROPERTY AND LICENSE
The Services are licensed, not sold.
Users receive a limited, non-exclusive, non-transferable license to access and use the Services during the subscription period.
All intellectual property rights in the Services remain the property of the Company or its licensors.
9. SERVICE AVAILABILITY
The Company strives to provide continuous access to the Services, but interruptions may occur due to maintenance, technical issues, or third-party disruptions.
If a material interruption significantly limits access, the Company may extend the subscription period proportionally.
Force Majeure
The Company will not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, infrastructure failures, cyberattacks, or government actions.
10. DISCLAIMERS AND LIABILITY
Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available.”
Limitation of Liability
To the maximum extent permitted by law, the Company will not be liable for indirect or consequential damages.
The Company’s total liability will not exceed the subscription fees paid by the user during the twelve (12) months preceding the claim.
11. TERMINATION
The Company may suspend or terminate access if users violate these Terms or misuse the Services.
12. GENERAL LEGAL TERMS
Changes to the Terms
The Company may update these Terms periodically. Updated versions will be posted with a revised effective date.
Privacy
Use of the Services is also governed by the Company’s Privacy Policy.
Interpretation
These Terms are intended to be interpreted in a fair and reasonable manner consistent with applicable consumer protection laws.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.
Entire Agreement
These Terms constitute the entire agreement between you and the Company regarding the Services.
Descriptions of the Services contained in marketing materials or informational webpages are provided for general informational purposes only and do not form part of this agreement unless expressly stated.
Consumer Rights
Nothing in these Terms limits any rights that users may have under applicable consumer protection laws.
13. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of Canada and the Province of Ontario.
Subject to applicable consumer protection laws, any legal proceedings relating to these Terms will be brought in the courts located in Ontario, Canada.
